These Terms & Conditions apply to all services provided by One Consultant Management Consultancies Co. L.L.C to our clients.
Our Services & Fees
1. Our Services
One Consultant provides business setup and corporate support services in the UAE, including company formation, Free Zone and Mainland licensing, licence renewal, visa and immigration services, PRO services, bank account opening assistance, VAT and Corporate Tax registration, accounting, bookkeeping, company cancellation, liquidation, and business consultancy.
The exact scope of services will be specified in the quotation, proposal, invoice, or service agreement provided to the Client.
2. Fees & Payments
Our charges may include One Consultant's professional fees, government fees, and third-party charges.
Government and third-party fees are determined by the relevant authority or service provider and may change without prior notice. Unless specifically stated otherwise, such charges are separate from our professional fees.
The Client agrees to make payments according to the agreed quotation or payment schedule.

3. Government Approvals
Many of our services depend on government authorities, Free Zones, immigration departments, banks, regulators, and other third parties.
One Consultant will make reasonable efforts to process applications efficiently. However, we do not guarantee approval, a specific processing time, visa issuance, licence approval, tax registration, bank account opening, or any other decision made by a government authority or third party.
4. Client Documents & Information
The Client must provide accurate, complete, genuine, and valid documents and information required for the requested service.
Depending on the service, this may include passports, Emirates IDs, proof of address, bank statements, corporate documents, UBO information, source of funds or wealth, business information, and tax information.
The Client is responsible for any delay, rejection, penalty, or additional cost resulting from incorrect, incomplete, or delayed information.
5. KYC, AML & Compliance
One Consultant may request information and documents required for KYC, AML, tax, and other regulatory compliance purposes.
We reserve the right to refuse, suspend, or terminate a service where required information is not provided or where continuing the engagement may create legal, regulatory, or compliance concerns.
6. Company Renewal & Compliance
The Client understands that maintaining a UAE company may involve ongoing obligations, including licence renewal, visa requirements, accounting, VAT, Corporate Tax, audit, UBO declarations, AML requirements, and other regulatory obligations where applicable.
Unless specifically agreed in writing, the Client remains responsible for maintaining the company's ongoing compliance.
7. Bank Account Opening
Where bank account assistance is included in our services, One Consultant will assist with the preparation and submission of the application.
The final decision to open a bank account rests entirely with the relevant bank. We do not guarantee bank approval, account opening, transaction limits, banking facilities, or processing times.
8. Cancellation & Refunds
Government and third-party fees are generally non-refundable once paid, unless the relevant authority or service provider approves a refund.
Professional fees relating to work already completed, applications submitted, documents prepared, or services commenced are generally non-refundable.
If the Client cancels a service after work has commenced, any eligible refund will be assessed based on the work completed and costs already incurred.
9. Company Closure
A company does not automatically close simply because it stops trading or its licence expires.
Formal cancellation, deregistration, or liquidation may be required by the relevant authority.
The Client remains responsible for all applicable government fees, professional fees, penalties, and other costs associated with closing the company.
10. NOC / Transfer to Another Consultant
If, after One Consultant has commenced or completed the agreed service, the Client requests an NOC, transfer of the company file, change of consultant or channel partner, or handover to another service provider, a professional and administrative fee of AED 5,000 + applicable VAT will apply.
This fee covers the administrative work involved in reviewing the file, preparing the required documentation, coordinating the handover, and completing the relevant procedures.
The AED 5,000 fee is a One Consultant professional fee and is not a government fee.
Any government or third-party charges related to the transfer will be payable separately.
Outstanding amounts owed to One Consultant must be settled before the NOC or handover is processed, subject to applicable law.
11. Processing Times
Any processing time provided by One Consultant is an estimate unless specifically guaranteed in writing.
Delays caused by government authorities, banks, regulators, system issues, public holidays, additional document requirements, third parties, or the Client will not be considered a failure by One Consultant to provide the agreed service.
12. Client Responsibilities
The Client is responsible for:
Providing accurate information and documents
Providing documents within the required timeframe
Making payments on time
Attending government appointments when required
Completing medical and biometric procedures where applicable
Maintaining company compliance
Complying with applicable UAE laws and regulations
13. Limitation of Liability
One Consultant will provide its services with reasonable care and professionalism.
However, we are not responsible for losses, delays, penalties, or costs resulting from government decisions, bank decisions, regulatory changes, third-party actions, Client delays, incorrect information supplied by the Client, or circumstances outside our reasonable control.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
14. Confidentiality & Data Protection
We will handle Client information confidentially and use it for providing our services and meeting applicable legal and regulatory requirements.
Information may be shared with government authorities, banks, regulators, auditors, professional advisers, or other service providers where necessary to complete the requested service or where required by law.
15. Changes in Government Rules
UAE laws, regulations, government fees, and procedures may change from time to time.
If a change affects an ongoing application or service, additional government, third-party, or professional costs may apply.
16. Termination of Services
One Consultant may suspend or terminate services if payments are not made, required documents are not provided, false or misleading information is supplied, KYC/AML requirements are not satisfied, the requested activity creates a legal or regulatory concern, or the Client materially breaches these Terms.
Any outstanding amounts for services already performed remain payable.
17. Governing Law
The applicable laws of the United Arab Emirates and the Emirate of Dubai govern these Terms & Conditions.
Any dispute that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts of Dubai, UAE, subject to applicable law.
18. Acceptance
By engaging One Consultant, approving a quotation, making payment, signing an agreement, or instructing us to commence work, the Client confirms that they have read, understood, and accepted these Terms & Conditions.
